Terms of Service

These Terms of Service (“Terms,” “Agreement”) constitute a legally binding agreement between you (“Client,” “you,” “your”) and The MNPPI Group LLC, a Minnesota limited liability company doing business as Pyndale (“Pyndale,” “Company,” “we,” “us,” “our”). By completing your subscription through our checkout process, executing a service agreement referencing these Terms, or accessing the Pyndale client portal, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.
If you are entering into this Agreement on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and “you” and “your” refer to that entity.
1. Definitions
- “Content” means all text, images, graphics, logos, data, and other materials displayed on or incorporated into your Site, including AI-Generated Content and Client Content.
- “AI-Generated Content” means marketing copy, descriptions, taglines, and other textual content produced by artificial intelligence tools on behalf of Pyndale using your Client Content as source material.
- “Client Content” means business information, trade names, logos, photographs, and other materials you provide to Pyndale or that Pyndale sources from publicly available records with your authorization.
- “Platform” means Pyndale’s proprietary website hosting infrastructure, including templates, design systems, software code, routing systems, and administrative tools.
- “Site” means the website built, hosted, and maintained by Pyndale on your behalf, including both preview and published states.
- “Subscription” means your selected service tier and associated billing arrangement.
2. Description of Service
Pyndale is a managed website-as-a-service platform that builds, hosts, and maintains professional single-page websites for small local businesses. Our service includes website design and assembly from professionally designed templates, hosting on global edge infrastructure, ongoing maintenance and security updates, and content management on your behalf, all as specified by your selected Subscription tier.
Concierge Service Model. Pyndale operates on a concierge model. You do not have direct editing access to your Site’s code, design, or content. All content additions, modifications, and removals are performed by Pyndale’s administrative team upon your request, subject to the update limits of your Subscription tier.
Business Data Sourcing. Pyndale may source publicly available business information from Google Places API and other lawful public data sources to create or supplement your Site content. You are responsible for reviewing and confirming the accuracy of all business information before your Site is published. Pyndale does not scrape websites or obtain data through unlawful means.
AI-Generated Content. Pyndale uses artificial intelligence tools to generate marketing copy and other textual content for your Site based on your business information. All AI-Generated Content is provided to you for review and approval prior to publication. You acknowledge that AI-Generated Content is machine-produced and may require corrections for accuracy.
Service Availability. Pyndale uses commercially reasonable efforts to maintain the availability of your Site. Our hosting infrastructure is provided by third-party cloud services, and Site availability is subject to the uptime and performance of those services. Pyndale does not guarantee any specific uptime percentage and does not offer service level agreements.
3. Subscription Tiers
Starter ($59/month): Single-page website hosted on a Pyndale subdomain, basic SEO, contact form, SSL, and one content update request per calendar month.
Professional ($89/month): All Starter features plus a custom domain name, email forwarding, Google Business Profile optimization assistance, monthly analytics report, and up to three content update requests per calendar month.
Growth ($139/month): All Professional features plus fully managed online presence, unlimited reasonable content update requests, monthly SEO performance review, and priority support.
Unused update requests do not carry over. “Unlimited reasonable updates” means Pyndale will fulfill requests consistent with normal business operations. Pyndale reserves the right to require a tier upgrade if request volume materially exceeds typical usage. You may upgrade tiers at any time (prorated) or downgrade effective at the next billing period.
4. Billing and Payment
Subscription fees are billed in advance on a monthly or annual basis. There are no setup fees. Annual billing is offered at a discount equivalent to two months of the applicable monthly rate. All fees are in United States dollars.
Automatic Renewal. Your Subscription renews automatically at the end of each billing period unless you cancel before the renewal date. By subscribing, you provide your affirmative consent to automatic renewal at the then-current rate. You may cancel at any time to stop future renewals.
Payment Processing. All payments are processed through Stripe. You are responsible for maintaining a valid payment method. Pyndale does not store your payment card information.
Failed Payments. If a payment fails, Pyndale will attempt to process it up to three additional times over fourteen days. Your Site remains live during this period. If payment cannot be collected, Pyndale may suspend your Site until the outstanding balance is resolved. Pyndale may terminate your Subscription if payment remains uncollected for more than thirty (30) days.
Price Changes. Pyndale may change Subscription pricing with at least thirty (30) days’ written notice. If you do not agree, you may cancel before the new price takes effect. Continued use after the effective date constitutes acceptance.
Refund Policy. Subscription fees are generally non-refundable. If you cancel, your Site remains live through the end of the current billing period. Pyndale may, at its sole discretion, issue refunds in exceptional circumstances.
Taxes. Subscription fees do not include applicable sales tax or other governmental assessments. You are responsible for all such taxes arising from your Subscription, excluding taxes based on Pyndale’s net income.
5. Content and Intellectual Property
Client Content Ownership. You retain all ownership rights in your Client Content, including your business name, trademarks, logos, photographs you provide, and factual business information.
Platform and Site Ownership. Pyndale retains all ownership rights in the Platform and in each assembled Site, including all website templates, the design system, software code, page layouts, visual design, administrative tools, and hosting infrastructure. Your Site is a work produced by Pyndale using the Platform and is not your property. No license to the Platform or the assembled Site design is granted except the limited right to have your Site hosted and displayed during the term of your Subscription. Upon termination, you receive your Client Content (text, images, business data) but not the assembled Site design, templates, or code.
AI-Generated Content License. AI-Generated Content created for your Site is licensed to you on a non-exclusive, non-transferable, royalty-free basis for use in connection with your business, for the duration of your Subscription. This license continues after termination solely for content you export during the data export period. Under current U.S. Copyright Office guidance, purely AI-generated content may not be eligible for copyright protection. Pyndale retains the right to use similar AI-Generated Content techniques for other clients.
License to Pyndale. You grant Pyndale a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, display, and distribute your Client Content solely for the purpose of providing the Service.
Attribution. All Sites include a “Powered by Pyndale, an MNPPI Group product” footer attribution with a hyperlink. You may not remove, obscure, or modify this attribution. Removal is a material breach of these Terms.
Portfolio Use. Pyndale may display your Site as a portfolio example in marketing materials. You may opt out by contacting hello@pyndale.com; opt-out requests are honored within fourteen business days.
Feedback. Any suggestions or feedback you provide regarding the Service becomes the property of Pyndale, which may use it without obligation or compensation to you.
6. Acceptable Use
You may use the Service solely for hosting a legitimate business website for a lawful business that you own or are authorized to represent. You agree not to use the Service for content that is unlawful, fraudulent, defamatory, obscene, threatening, or that violates any third party’s rights; to operate or promote illegal activity; to distribute malware or phishing schemes; to misrepresent your identity or qualifications; to build a competing service; to interfere with the Platform or other clients’ Sites; to resell or redistribute the Service; or for any use that Pyndale reasonably determines may harm its reputation or other clients.
Pyndale may investigate suspected violations and take any action it deems appropriate, including suspension, termination, content removal, and reporting to law enforcement.
7. Content Accuracy and Client Responsibilities
You are solely responsible for the accuracy, completeness, and legality of all business information displayed on your Site. Before publication, Pyndale provides a private preview for your review. Your approval constitutes confirmation that the content is accurate and authorized for publication. You are responsible for promptly notifying Pyndale of any changes to your business information.
You are solely responsible for ensuring that your business and Site content comply with all applicable laws, regulations, and industry requirements. Pyndale shall not be liable for any inaccuracies, errors, or omissions in Site content that you reviewed and approved, including AI-Generated Content.
8. Domain Names
Domain Ownership. Professional and Growth tier Subscriptions include domain name registration and renewal as part of the Service. Domain names registered by Pyndale are owned and controlled by Pyndale for the duration of the Subscription. You do not acquire ownership of the domain registration by subscribing to the Service. Pyndale pays for, manages, and maintains the domain registration, DNS configuration, and SSL certificates.
Domain Transfer (Buyout). Upon cancellation or termination, you may purchase the right to transfer the domain to a registrar and account of your choosing. The domain transfer fee is the higher of three times (3x) your standard monthly Subscription rate or one hundred fifty dollars ($150). For annual Subscribers, the standard monthly rate is the non-discounted monthly equivalent of your tier (Starter: $59, Professional: $89, Growth: $139). The transfer fee must be paid in full before Pyndale initiates the transfer. Pyndale will initiate the domain transfer within fourteen (14) business days of receiving payment.
Full Buyout (Domain + Content). You may purchase a full buyout that includes domain transfer plus an export of your Site content (text, images, AI-Generated Content, and structured data) in a portable format. The full buyout fee is six times (6x) your standard monthly Subscription rate. The full buyout does not include Pyndale’s templates, design system, code, or page layouts — you receive your content, not the assembled Site.
Transfer Window. Domain transfer and full buyout requests must be made within thirty (30) days of Subscription termination. If you do not request a transfer within this period, Pyndale may, at its sole discretion, allow the domain registration to lapse at its next renewal date or reassign the domain. You are responsible for any third-party transfer fees charged by the receiving registrar.
Domain Restrictions. Pyndale does not guarantee the availability of any particular domain name. Disputes regarding domain name ownership are between you and the relevant registrar or trademark holder.
9. Privacy and Data
Pyndale’s collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. The Service relies on third-party providers including Cloudflare, Stripe, and Google, whose terms also apply to the extent applicable.
10. Warranty Disclaimer
The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, statutory, or otherwise. Pyndale specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Pyndale makes no warranty that the Service will meet your requirements, be uninterrupted or error-free, that your Site will achieve any particular search engine ranking, traffic volume, or business outcome, or that AI-Generated Content will be accurate or complete. Search engine rankings and website traffic are influenced by factors outside Pyndale’s control and no specific results are guaranteed.
11. Termination
Cancellation by Client. You may cancel at any time via the client portal or by contacting hello@pyndale.com. Cancellation takes effect at the end of the current billing period. Your Site remains live through the end of the period for which payment has been made.
Termination by Pyndale for Cause. Pyndale may suspend or terminate immediately without notice if you breach these Terms, if your payment is delinquent for more than thirty (30) days, if your use poses a legal, security, or reputational risk, or if required by law.
Termination by Pyndale Without Cause. Pyndale may terminate for any reason with at least thirty (30) days’ written notice. In such event, Pyndale will refund the prorated unused portion of any prepaid fees.
Effect of Termination. Upon termination, Pyndale will take your Site offline. Your obligation to pay outstanding fees survives termination.
Data Export. Upon termination, you may request a free export of your Client Content (business name, contact information, service descriptions, and photographs you provided) within thirty (30) days. This export includes raw text and images only — not the assembled Site design, templates, code, or page layouts, which are Pyndale’s property. For domain transfer or full content buyout including AI-Generated Content, see Section 8 (Domain Names). After the thirty-day period, Pyndale may delete all data associated with your account.
12. Limitation of Liability
To the maximum extent permitted by applicable law, the total aggregate liability of Pyndale and its officers, directors, members, employees, agents, and affiliates arising out of or related to this Agreement shall not exceed the total fees actually paid by you to Pyndale during the twelve-month period immediately preceding the event giving rise to the claim. In no event shall Pyndale be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including damages for lost profits, lost revenue, loss of business, loss of goodwill, loss of data, business interruption, or cost of substitute services, regardless of whether such damages were foreseeable. Pyndale shall not be liable for any failure, outage, or deficiency in third-party services including Cloudflare, Stripe, Google, and domain name registrars. These limitations apply regardless of whether the remedy fails of its essential purpose and form an essential basis of the bargain between you and Pyndale.
13. Dispute Resolution
Informal Resolution. Before initiating formal proceedings, you agree to contact Pyndale at hello@pyndale.com and attempt to resolve the dispute informally for at least thirty (30) days.
Binding Arbitration. Disputes that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, conducted by a single arbitrator in Hennepin County, Minnesota (or remotely at the arbitrator’s discretion). The arbitrator’s award is final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver. You and Pyndale agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative action. If this waiver is found unenforceable, the remainder of the arbitration agreement remains in effect.
Small Claims Exception. Either party may bring an individual action in small claims court in Hennepin County, Minnesota, provided the claim falls within the court’s jurisdictional limits.
Injunctive Relief. Nothing prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
Governing Law. This Agreement is governed by Minnesota law, without regard to conflict of law provisions. To the extent legal action is permitted outside arbitration, you consent to the exclusive jurisdiction of state and federal courts in Hennepin County, Minnesota.
Time Limitation. Any claim arising out of this Agreement must be filed within one (1) year after the claim arose. Claims filed after this period are permanently barred.
14. Indemnification
You agree to indemnify, defend, and hold harmless Pyndale, The MNPPI Group LLC, and their respective officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your Client Content or any content you request to be published on your Site; (b) your business operations, products, or services; (c) your breach of these Terms; (d) your violation of any applicable law or third-party right; (e) any misrepresentation of your business information, qualifications, or affiliations; (f) any dispute between you and a visitor, customer, or client of your business; or (g) any claim that your Client Content infringes any third party’s intellectual property or other proprietary right.
15. Force Majeure
Neither party shall be liable for any delay or failure to perform caused by events beyond reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, government orders, labor disputes, internet or telecommunications failures, power outages, cyberattacks, or failures of third-party service providers.
16. Modifications
Pyndale reserves the right to modify these Terms at any time. Material changes will be communicated via email at least thirty (30) days before they take effect. Continued use after the effective date constitutes acceptance. If you do not agree to modified Terms, you must cancel your Subscription before the effective date. Pyndale may also modify, update, or discontinue features of the Service at any time with reasonable notice.
17. General Provisions
Severability. If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.
Entire Agreement. This Agreement, together with the Privacy Policy and any Subscription confirmations, constitutes the entire agreement between you and Pyndale regarding the Service.
Assignment. Pyndale may assign this Agreement without your consent, including in connection with a merger or acquisition. You may not assign without Pyndale’s prior written consent.
No Third-Party Beneficiaries. No third party, including any visitor to your Site, has any rights to enforce any provision of this Agreement.
Waiver. Failure to enforce any provision does not constitute a waiver of the right to enforce it in the future.
Electronic Communications. By using the Service, you consent to receive communications electronically. You agree that electronic communications satisfy any legal requirement that communications be in writing.
Relationship of the Parties. Pyndale and you are independent contracting parties. Nothing in this Agreement creates a partnership, joint venture, employment, franchise, or agency relationship.
Survival. Sections 5 (Intellectual Property), 7 (Content Accuracy), 10 (Warranty Disclaimer), 12 (Limitation of Liability), 13 (Dispute Resolution), 14 (Indemnification), and 17 (General Provisions) survive termination.
